Cell-Loc chooses PST to manufacture Cellocate™ Beacon worldwide

Agreements focus on low-cost manufacturing of Cell-Loc’s wireless location enabling device

CALGARY, AB, MARCH 07, 2002 - Cell-Loc Inc. (TSE: CLQ), a leading developer of network-based wireless location technology, today announced the signing of an agreement with PST Indústria Eletrônica de Amazônia Ltda. (“PST”), a Brazilian embedded electronic modules designer and manufacturer (owned 50 percent by Stoneridge, Inc - NYSE). The agreement contemplates that PST will manufacture Cellocate™ Beacon devices, and will also participate in the further development, production and application of the Cellocate™ Beacon device technology.

There are two main aspects of the agreement. The first includes the provisions governing the manufacturing relationship and would obligate PST to sell Cellocate™ Beacons exclusively to Cell-Loc. PST will employ its state-of-the art manufacturing facilities to produce Cellocate™ Beacons, each with its own unique wireless signature, in volumes adequate for rapid deployment of Cellocate™ networks in potential markets that Cell-Loc is developing worldwide.

The second main aspect provides for Cell-Loc and PST to form a venture to jointly develop the intellectual property (IP) for future generations of the Cellocate™ Beacon including full custom integrated circuits (“chips”). The venture would create and produce a family of Cellocate™ Beacons specifically designed to enable a variety of location-based services such as tracking, monitoring and messaging. Cell-Loc and PST would each hold a 50 percent interest in the venture.

“This arrangement completes Cell-Loc’s manufacturing requirements,” said Sheldon Reid, Executive Vice President, Corporate and Business Development, Cell-Loc Inc. “With PST as our Cellocate™ Beacon manufacturer and Chongqing Cell-Loc Wireless Location (35 percent owned by Cell-Loc) as our Cellocate network manufacturer, Cell-Loc is well positioned not only to provide high accuracy signal location technology worldwide, but to do so at the lowest feasible manufacturing costs and to do so together with partners that are already major players in strategic markets such as China and Latin America. PST was a natural partner for Cell-Loc. Its proven track record of manufacturing low-cost electronic modules and its existing ties to both North and South American markets match Cell-Loc’s needs very well.”

“Our agreement with Cell-Loc provides PST with the opportunity to enter the wireless location industry,” said Sergio C. Leite, President, PST Indústria Eletrônica de Amazônia Ltda. “Our experience in manufacturing security devices is highly complementary to Cell-Loc’s Cellocate Beacon™ manufacturing requirements, and our current focus on serving the Americas is now expanded because of our relationship with Cell-Loc and their focus on markets worldwide.”
