Cell-Loc Location Technologies announces issuance of shares pursuant to conversion of Promissory note by Ansen 

Calgary, AB, April 20, 2005 – Cell-Loc Location Technologies Inc. (TSX-V: LTI) (“CLTI”), today announced that it has issued shares to affiliates of Ansen Corporation (“Ansen”) for the previously announced conversion of a US$2.5 million Convertible Promissory Note.

Under the terms of the Note, Ansen converted outstanding amounts to CLTI common shares at a price of US$0.50 per share.  CLTI issued 5,563,116 common shares in payment of the full amount of principal and interest outstanding under the Note. As a result of this conversion, CLTI no longer has any outstanding liabilities other than current trade payables.
